These Terms of Use and Newsletter Terms ("Terms") govern your access to and use of the Capital and Liquidity website, publications, newsletters, emails, articles, reports, commentary, databases, media, social media content and other services made available by Capital and Liquidity.

In these Terms, "Capital and Liquidity", "we", "us" and "our" mean Batchmore B.V. trading as Capital and Liquidity.

"Content" means anything published or distributed by us, including articles, analysis, commentary, opinions, newsletters, reports, research, interviews, graphics, charts, photographs, videos, podcasts, databases, data, social media posts and other material.

1. Acceptance of These Terms

By accessing, browsing, subscribing to or otherwise using Capital and Liquidity, you acknowledge these Terms and agree to comply with them.

If you do not agree with these Terms, you should not use the website or our services.

Certain products, services, subscriptions, reports or other offerings may have additional terms. Where additional terms apply, those terms will form part of your agreement with us and may take precedence in relation to the relevant service.

16. What You May Do With Our Content

Unless Content is subject to different stated terms, you may:

Nothing in these Terms restricts any right or exception that cannot legally be restricted by contract.

18. Text and Data Mining, AI Training and Machine Learning

To the fullest extent permitted under applicable law, Capital and Liquidity and its relevant rights holders expressly reserve all rights relating to text and data mining, computational analysis and automated extraction of Content.

This reservation includes, where legally applicable, a reservation of rights under Article 4(3) of Directive (EU) 2019/790 and applicable implementing legislation.

Except where permitted by an exception that cannot lawfully be excluded, you may not use Capital and Liquidity Content without prior written permission for:

  • commercial text and data mining;
  • training artificial intelligence systems;
  • training or fine-tuning machine-learning models;
  • creating model training datasets;
  • creating embeddings or vector databases intended to reproduce or commercially exploit our Content;
  • large-scale automated summarisation;
  • retrieval-augmented generation systems;
  • synthetic dataset creation;
  • commercial language-model development; or
  • similar automated exploitation.

We may also communicate these reservations using robots instructions, metadata, machine-readable protocols or other technical measures.

Search engines may index Content where allowed by our technical settings and policies.

19. Database Rights

Where Capital and Liquidity has made a substantial investment in obtaining, verifying, organising or presenting collections of information, those collections may also be protected by database rights.

Except where permitted by law or with our written consent, you may not systematically extract, reuse, reproduce or redistribute all or a substantial part of such a database.

Repeated extraction of smaller portions may also be prohibited where it amounts to systematic exploitation of the database.

20. Trademarks and Branding

"Capital and Liquidity", associated logos, designs, names, marks and branding may constitute trademarks or other protected identifiers.

Nothing in these Terms grants you permission to use our branding in a way that suggests sponsorship, endorsement, affiliation or partnership without our prior written permission.

Third-party names and trademarks appearing on the website belong to their respective owners.

21. Republishing and Licensing

Publishers, businesses, platforms, AI companies, research organisations and other organisations wishing to reproduce, license, syndicate, distribute or commercially use our Content should obtain prior written permission.

22. User Contributions and Submissions

We may allow users, readers or contributors to submit comments, ideas, pitches, articles, photographs, data, tips, feedback or other material.

You must not submit anything that:

  • infringes another person's intellectual property rights;

  • is fraudulent or misleading;
  • contains malware or harmful code; or

You retain ownership of material you own.

However, unless a separate written agreement states otherwise, by voluntarily submitting material for publication you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, edit, adapt, publish, distribute, archive and promote that material in connection with Capital and Liquidity and its publications.

You confirm that you have the necessary rights to grant us that licence.

Separate contributor or licensing agreements will take precedence where applicable.

23. Unsolicited Information and Confidentiality

Do not send confidential, price-sensitive, privileged, proprietary or commercially sensitive information to Capital and Liquidity unless confidentiality has been expressly agreed with us in writing beforehand.

Sending information to us does not automatically create a confidential relationship.

Where journalistic source protection or another express confidentiality arrangement applies, it will be dealt with according to the circumstances and applicable law.

24. Corrections and Complaints

We aim to correct material factual errors when reasonably appropriate.

We reserve the right to remove or restrict access to material while investigating a legitimate intellectual property complaint.

We do not control those third parties.

27. Newsletter Terms

Capital and Liquidity may operate one or more email newsletters, briefings, alerts or similar publications.

By subscribing to a newsletter, you request that we send the relevant publication to the email address you provide.

Where consent is legally required for marketing communications, newsletter or marketing consent will be requested separately and will not be inferred solely from acceptance of these Terms.

Newsletter frequency may change from time to time.

Newsletters may contain:

The same financial, investment, accuracy, copyright and liability provisions contained in these Terms apply to newsletter Content.

28. Unsubscribing From Newsletters

You may unsubscribe from marketing or newsletter emails using the unsubscribe facility contained in the relevant email or by contacting us.

We will process unsubscribe requests in accordance with applicable law.

If you have another contractual relationship with us, unsubscribing from marketing communications may not prevent us from sending necessary administrative, transactional, legal or service-related communications relating to that relationship.

29. Newsletter Delivery

We do not guarantee that newsletters will always be delivered.

Delivery can be affected by:

  • spam filters;
  • email providers;
  • server outages;
  • incorrect email addresses;
  • security systems;
  • technical problems; or
  • circumstances outside our control.

We may change, suspend or discontinue any newsletter at any time.

We process personal data in accordance with applicable privacy and data-protection law.

Our Privacy Policy explains how we collect, use, retain and protect personal data.

Our use of cookies and similar technologies will be governed by our Cookie Policy and relevant consent mechanisms.

These Terms do not replace our Privacy Policy or Cookie Policy.

32. Website Security and Availability

We take reasonable measures to operate and protect our website, but we cannot guarantee uninterrupted or completely secure operation.

We do not guarantee that the website will:

  • be free from bugs;
  • be free from viruses or malicious software;

35. Limitation of Liability

To the fullest extent permitted by applicable law, Capital and Liquidity, Batchmore B.V. and their directors, employees, contributors, contractors and affiliates will not be liable for losses arising solely from reliance on general Content published through Capital and Liquidity.

This includes, where legally permissible:

  • investment losses;
  • trading losses;
  • loss of profits;
  • loss of revenue;
  • loss of opportunity;
  • loss of anticipated savings;
  • loss of business;
  • loss of goodwill;
  • loss of data; and
  • indirect or consequential losses.

You are responsible for independently evaluating information before acting on it.

Where liability cannot legally be excluded, nothing in these Terms excludes or limits liability to an extent prohibited by applicable law.

Where permitted by law, our aggregate liability arising from your use of a free service will not exceed €100.

Where you have paid us directly for a service, and separate terms do not provide otherwise, our aggregate liability relating to that service will not exceed the amount you paid us for that service during the twelve months preceding the event giving rise to the claim.

36. Business Users

If you use Capital and Liquidity in the course of a business, trade or profession, you acknowledge that business and investment decisions should be based on your own professional assessment and due diligence.

To the fullest extent permitted by law, you agree not to hold Capital and Liquidity responsible for business decisions made solely in reliance on general editorial Content.

37. Indemnity for Misuse

If you use Capital and Liquidity in the course of a business or profession, then, to the extent permitted by law, you agree to indemnify Batchmore B.V. against reasonable losses, liabilities and costs resulting directly from:

  • your unlawful use of the website;
  • your material breach of these Terms;
  • material you submit that infringes third-party rights; or
  • your unauthorised commercial exploitation of our Content.

This provision does not apply where prohibited by mandatory law.

38. Changes to the Website

We may change:

  • the website;
  • its structure;
  • categories;
  • features;
  • Content;
  • newsletters;
  • access conditions; and
  • services

at any time.

We may also discontinue any part of Capital and Liquidity without creating an obligation to continue supplying it indefinitely.

The latest version will be published on the website with the date of the most recent update.

Where legally required, material changes affecting an existing contractual service will be communicated using an appropriate method.

40. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

41. No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

42. Assignment

43. Governing Law

These Terms and any dispute arising from them are governed by the laws of the Netherlands.

Nothing in these Terms deprives a consumer of any mandatory protection available under the laws that apply to that consumer.

44. Jurisdiction

Subject to any mandatory jurisdiction rights available to consumers or other parties under applicable law, disputes concerning these Terms or Capital and Liquidity will be submitted to the competent courts in the Netherlands, with the courts having jurisdiction in Amsterdam being preferred where legally permitted.
